1. Agreement to Terms

By accessing and using this platform ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the Service. We reserve the right to modify these terms at any time, and such modifications will be effective upon posting.

2. Service Description

Our platform provides powered by Soundclip.io video generation, editing, and distribution tools for music artists and creators. The Service includes video creation, avatar studios, social media scheduling, analytics, and related features. Features and availability may vary by subscription plan and are subject to change.

3. User Accounts & Registration

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to provide accurate, truthful, and complete information during registration.
  • You are responsible for all activity under your account, whether authorized or not.
  • You must be at least 18 years old to use this Service.
  • One person may not maintain multiple accounts without explicit permission.

4. Subscription & Billing Terms

4.1 Pricing & Payment

Prices are listed in USD and may vary by region. Billing occurs monthly or annually based on your selected plan. Payment must be made via valid credit/debit card through Stripe. You authorize us to charge your payment method for all fees and charges incurred.

4.2 Free Trial

All plans include a 7-day free trial. Your trial automatically converts to a paid subscription at the end of the trial period unless cancelled before conversion. You will not be charged during your free trial period.

4.3 Automatic Renewal

Subscriptions automatically renew on a monthly or annual basis depending on your billing cycle. You authorize recurring charges to your payment method until you cancel. Cancellation must be initiated in your account settings or via written request.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price increases apply at your next renewal date. If you do not agree to new pricing, you may cancel your subscription.

5. NO REFUNDS Policy

ALL PAYMENTS ARE FINAL. NO REFUNDS OR CREDITS ARE PROVIDED FOR ANY REASON.

  • Monthly and annual subscription fees are non-refundable, regardless of usage.
  • Partial month refunds are not available if you cancel mid-cycle.
  • Refunds are not provided for unused video credits, AI tokens, or other quota allowances.
  • Refunds are not provided if features are unavailable or service is interrupted due to technical issues.
  • Free trial credits cannot be converted to cash or carried over to paid plans.
  • We do not issue refunds for duplicate charges; please contact support immediately if this occurs.

By subscribing, you acknowledge and accept this no-refunds policy in its entirety.

6. Cancellation & Downgrade

You may cancel your subscription at any time via your account settings. Cancellations take effect at the end of your current billing cycle. No refunds are issued for cancellations. Upon cancellation, you retain read-only access to your content for 30 days; after that, your account and all associated data will be deleted.

7. Acceptable Use Policy

You agree not to:

  • Use the Service to create, distribute, or promote illegal content or malware.
  • Violate intellectual property, privacy, or other rights of third parties.
  • Harass, abuse, or threaten other users or our team.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Engage in automated scraping, hacking, or reverse engineering of the platform.
  • Violate any applicable laws, regulations, or third-party terms of service (e.g., platform guidelines for social media).
  • Resell, redistribute, or commercially exploit the Service without authorization.
  • Use the Service for high-volume automated requests that exceed fair use limits.

7.1 Third-Party Platform Compliance

When you connect third-party social media accounts (Instagram, TikTok, YouTube, Facebook, Twitter/X), music platforms (Spotify, Apple Music), or cloud storage (Google Drive), your use of those services through our platform is subject to the respective platform's Terms of Service, Developer Policies, and Community Guidelines. Soundclip.io acts as a content management and scheduling tool; we are not responsible for account suspensions, content takedowns, or restrictions imposed by third-party platforms due to violations of their policies. You are solely responsible for ensuring that the content you publish complies with each platform's rules. We may revoke your access to third-party integrations if we determine your usage violates applicable platform policies.

7.2 AI-Generated Content Responsibility

You are solely responsible for all content created using our AI generation tools, including ensuring that such content does not infringe on the rights of any third party (including likeness rights, copyrights, and trademarks). You must have the proper rights and clearances for all music, images, and source material you upload. We do not verify rights clearance for user-uploaded content.

8. Content Ownership & Rights

8.1 Your Content: You retain all rights to content you upload (music, artwork, scripts). You grant us a non-exclusive license to process, store, and display your content solely to deliver the Service. We do not claim ownership of your content.

8.2 Generated Content: Videos, images, and assets generated by our AI tools are owned by you, subject to your compliance with these terms. You may use generated content commercially and on social media, provided you do not violate third-party rights.

8.3 Platform Content: All platform design, code, functionality, and proprietary tools are owned by us and protected by copyright and intellectual property law. You may not copy, modify, or redistribute platform content without permission.

8.4 Third-Party Licenses: Your use of HeyGen avatars, music sources (Spotify, iTunes), and other third-party services is governed by their respective terms and licenses. You are responsible for ensuring proper licensing and rights clearance for all music and content used.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRECEDING 12 MONTHS.

10. Service Availability & Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, uptime, or error-free operation. Video generation may be delayed due to processing queue, API limitations, or technical issues. We reserve the right to modify, suspend, or discontinue features at any time without refund or compensation.

11. Data Processing & Privacy

Your use of the Service is governed by our Privacy Policy. We collect and process data necessary to deliver the Service. By using the platform, you consent to data processing, analytics, and storage. You may request data deletion by contacting support, subject to legal retention requirements.

12. Intellectual Property Claims

If you believe your intellectual property rights have been violated, please contact us with supporting evidence. We will investigate and take appropriate action. We are not responsible for verifying licensing or rights clearance for third-party content you use on the platform.

13. Termination of Account

We may terminate or suspend your account immediately if you violate these terms, engage in abusive behavior, or pose a risk to the Service. Upon termination, you lose access to all features. No refund will be issued for termination due to policy violation. You may request account deletion subject to legal and backup retention requirements.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from your use of the Service, violation of these terms, or infringement of third-party rights. This includes legal fees and settlement costs.

15. Dispute Resolution & Governing Law

These terms are governed by the laws of the United States, without regard to conflicts of law principles. Any disputes shall be resolved through binding arbitration under American Arbitration Association rules, or in courts of competent jurisdiction. You waive the right to class action litigation.

17. Miscellaneous

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force. These terms constitute the entire agreement between you and us regarding the Service. Failure to enforce any right does not waive that right.
